PAUL
A. FEIGENBAUM
Mr.
Feigenbaum is a graduate of Hamilton College (B.A., 1967) and the Columbia
University School of Law (J.D., 1971). He was admitted to the New
York State Bar in 1971.
Mr. Feigenbaum concentrates in the areas of commercial and general dispute
resolution and commercial transactions. He has extensive litigation
experience, both jury and non-jury, having acted as counsel in trials, arbitrations and mediations. He handles a broad range of
civil litigation, including matters involving: contracts; real estate;
mortgages and other loan transactions; corporate and partnership matters;
insurance coverage; real estate tax assessments; theft of trade secrets;
and product liability.
He is an experienced appellate advocate, having argued appeals in the New
York Court of Appeals, all four Appellate Divisions of the New York State
Supreme Court and the United States Court of Appeals for the Second
Circuit.
Mr. Feigenbaum has lectured for the New York State Bar Association on
appellate practice and for real estate industry associations on various
aspects of commercial litigation.
In
addition to his 25 years of experience in private practice, prior to
joining the firm, Mr. Feigenbaum had served as General Counsel of the New
York State Unified Court System, Office of Court Administration, where he
reported directly to the Chief Judge and Chief Administrative Judge of the
State of New York. In addition, Mr. Feigenbaum regularly advised
judges throughout the state on matters relating to judicial
administration.
Mr. Feigenbaum also is a member of the Bars of the United States Supreme
Court; the United States Court of Appeals for the Second Circuit; and the
United States District Courts for the Northern, Southern, Eastern and
Western Districts of New York. He is a member of the Federal Bar
Council, the New York State Bar Association, the Albany County Bar
Association and the New York County Lawyers’ Association.

Ms.
Feigenbaum is a graduate of St. Lawrence University (cum laude) and
Syracuse University College of Law. She
was admitted to the New York State Bar in 1984.
Ms.
Feigenbaum’s practice is concentrated in the areas of commercial and
residential real estate law, banking law, business law and corporate and
partnership matters. She has
extensive experience in representing real estate developers; representing
parties in commercial and residential real estate sales and leasing transactions', representing banks in commercial
lending and health care project finance; and handling corporate, partnership and general business matters.
Ms. Feigenbaum also has a strong background in title insurance and
title-related matters.
She
has authored several chapters for the real estate treatise, Warren’s Weed
New York Real Property. Ms.
Feigenbaum is a member of the New York State Bar Association (Member,
Sections on Real Estate and Business).
Ms.
Feigenbaum also is admitted to practice before the United States District
Court of the Northern District of New York.

J. GOLDMAN
Mr.
Goldman is a graduate of the University of North Carolina at Chapel Hill
and Albany Law School. Mr.
Goldman also is a Certified Public Accountant.
He was admitted to the New York State Bar in 1986.
Mr. Goldman's practice is concentrated in commercial real estate,
commercial banking transaction, tax assessment proceedings and
equalization rate challenges, corporate finance and municipal finance. In addition, Mr. Goldman has handled numerous
complex real estate acquisitions, sales, leasing and development matters,
zoning matters, municipal underwriting and corporate finance matters, both
public and private. He also has
handled numerous tax assessment proceedings for both
municipalities and taxpayers. He has considerable experience
representing clients before various governmental and municipal agencies
and authorities. He has
substantial experience in equalization issues and administrative practice
with various agencies and instrumentalities of the State of New York.
Mr.
Goldman is a member of the Albany County and New York State Bar
Associations (Member, Sections on Real Estate and Taxation) and the
American Bar Association (Member, Real Estate and Taxation).

Ms.
Greene is a graduate of the State University of New York at Stony Brook,

Greene’s practice is concentrated in the area of state and federal tax
law, including advising clients in various complex tax matters and

J. KOSHGARIAN
Mr.
Koshgarian is a graduate of St. Lawrence University and Suffolk University
Law School in Boston, Massachusetts. He was admitted to the New York State Bar in 1987.
Mr.
Koshgarian's practice is concentrated in the areas of employee benefit
planning, executive compensation, taxation and real property. He has handled numerous complex retirement and welfare benefit plan
matters, including employee stock ownership plan leveraged financing,
installation of cafeteria plans and qualification of the firm's regional
prototype retirement plans with the Internal Revenue Service. In addition, Mr. Koshgarian has represented individual and
corporate taxpayers in both civil audits and criminal investigations
before the Internal Revenue Service and New York State Department of
Taxation and Finance. He also
has considerable experience in advising clients on a variety of
commercial, corporate and real property matters.

Ms.
Lambek is a graduate of the Business School at the State University of New

Mr.

Mr.
Segel, who is counsel to the firm, is a graduate of Tel Aviv University, Israel, Alfred University,
Chase College of Law of Northern Kentucky State University and New York
University School of Law (LLM in taxation).
He was admitted to the New York State Bar in 1977.
Mr. Segel's practice is concentrated in the areas of commercial
transactions, employee benefit planning, executive compensation,
commercial and corporate law and taxation.
He has represented clients in numerous complex and varied business
acquisitions and reorganizations. He also
has handled numerous complex retirement and welfare benefit plan
matters, including employee stock ownership plans, leveraged financing,

J. SHERWOOD
Mr.
Sherwood, who is counsel to the firm, is a graduate of Colgate University, Albany Law School and New
York University Graduate School of Business Administration (M.S. in
Accounting). Prior to practicing law he was associated with the accounting
firm of Deloitte, Haskins & Sells in New York City. He was admitted to the Massachusetts Bar in 1987 and the New York
State Bar in 1988.
Mr. Sherwood's practice is concentrated in the probate, estate planning,
elder law, real property, corporate and tax areas. He has substantial
experience handling a variety of complex probate, estate planning and tax
matters, as well as planning for the disabled and elderly and advising
both individual and corporate clients on tax matters, including audits,
appeals and litigation before the Internal Revenue Service and other
taxing authorities. He has
considerable experience representing lenders and individuals in a variety
of real property matters. Mr. Sherwood also is experienced in commercial
and real property tax assessment matters, condemnation and eviction
proceedings.
Mr.
Sherwood is a member of the Estate Planning Council of Eastern New York
and currently serves on the Estate, Health, Insurance and Personal
Planning Committee of the Elder Law Section of the New York State Bar
Association.
Mr.

A. SIEGEL
Mr.
Siegel is a graduate of the State University of New York at Buffalo
(Bachelor of Science in Business Administration with concentrations in
accounting and in finance), Union College (M.B.A.) and Albany Law School.

Mr. Siegel's practice is
concentrated in the areas of commercial transactions, commercial real
estate, commercial litigation, not-for-profit and tax-exempt corporations
and estate planning. He has
handled numerous business acquisitions, commercial real estate purchases,
sales and leasing matters, commercial litigation matters and not-for-profit
and tax-exempt entity formations and reorganizations.

JOHN N. VAGIANELIS
Mr. Vagianelis received his preparatory education from Colgate University, 1994,
A.B. (Cum Laude), and received his law degree from Albany Law School of Union University, 1996, J.D. (Cum Laude). He was admitted to practice in New York State and the United States District Court, Northern District of New York in 1997. Mr. Vagianelis is a member of the New York State Bar Association (Real Property Law, Municipal Law and Business Law Sections), New York State Association For Affordable Housing, Albany County Bar Association and New York State Government Finance Officers’ Association. Mr. Vagianelis is also a member of the adjunct faculty at Maria College where he teaches legal ethics, real property law and legal research and writing to undergraduate students.
Mr. Vagianelis concentrates his practice in the areas of real estate finance and development, municipal finance and general business law with a special emphasis on mortgage financing and letter-of-credit enhancement for affordable housing transactions, including tax-exempt bond transactions and Freddie Mac multi-family financings and other government subsidized mortgage lending programs. He represents commercial and not-for-profit lenders and developers in a variety of multi-family housing transactions, including acquisition, construction and permanent loan financings with the New York State Housing Finance Agency, New York State Housing Trust Fund Corporation, New York State Division of Housing and Community Renewal, New York City Housing Development Corporation and the State of New York Mortgage Agency, and also serves as bond counsel and special counsel to a variety of municipalities for municipal finance, zoning and real property law matters. Mr. Vagianelis also has experience with payment-in-lieu-of-tax (PILOT) agreements, Article 78 proceedings, zoning enforcement and administration, the creation of municipal water and sewer districts, the creation of redevelopment companies under the Private Housing Finance Law, federal low-income and historic tax credit enhanced financings, tax-exempt bond financings, state-assisted financings and condominium offerings. Mr. Vagianelis has successfully defended corporations and corporate officers before the New York State Department of Taxation and Finance and New York State Insurance Department concerning real property transfer and gains tax liabilities, payroll withholding tax liability, and licensing issues. Additionally, he has represented corporate and municipal clients in real property tax certiorari proceedings and Article 78 proceedings, prepared appellate briefs and argued such appeals before New York's appellate courts.
